Welcome to The Grumpy Unicorn Co. The terms "we", "us" and "our" refer to The Grumpy Unicorn Co Pty Ltd (ACN 622 552 685, ABN 51 232 102 730), trading as The Grumpy Unicorn Co. We operate the website thegrumpyunicorn.co (the "Services") to provide customers with a curated shopping experience powered by Shopify. By accessing or using the Services, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you do not agree, please do not use the Services.

These Terms apply to all users of the Services, including browsers, customers, merchants, and contributors of content.

SECTION 1 - ACCESS AND ACCOUNT

You must be of legal age in your jurisdiction to use the Services. If you create an account, you agree to provide accurate and current information including your email, billing, payment, and shipping details. You are solely responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

SECTION 2 - OUR PRODUCTS

Product descriptions, images, and availability are subject to change without notice. We have made every reasonable effort to display the colours and details of our products accurately, but we cannot guarantee that your device's display will reflect them exactly. We do not warrant that the appearance or quality of any product purchased by you will meet your expectations or be the same as depicted in our online store.

Pins are handmade and will have natural variations. Please refer to our Refund Policy for details on grading and claims.

SECTION 3 - ORDERS

When you place an order, you are making an offer to purchase. The Grumpy Unicorn Co reserves the right to accept or decline your order at its discretion, including for reasons such as suspected fraud, unavailable stock, or pricing errors. Orders are not accepted until payment has been processed and confirmed.

SECTION 4 - PRICES AND BILLING

Prices are subject to change without notice. All prices are listed in the currency shown at checkout. You agree to provide current, complete, and accurate payment information. You warrant that any payment method you use is authorised for your use.

Applicable taxes and duties are calculated at checkout where required. For US-bound orders, tariffs are collected at checkout and parcels ship duties paid (DDP); see our Shipping Policy for full details.

SECTION 5 - SHIPPING AND DELIVERY

We ship from Gordon, Australia. Delivery times are estimates only and are not guaranteed. We are not liable for shipping or delivery delays caused by carriers, customs, or events outside our control. Once products are transferred to the carrier, title and risk of loss pass to you. Full shipping terms, lost-parcel claim windows, and customs information are set out in our Shipping Policy.

SECTION 6 - INTELLECTUAL PROPERTY

The Services and all content within them, including but not limited to trade marks, brand names, the "Grumpy" mascot and character, text, displays, images, graphics, product designs, photography, video, and audio, are owned by The Grumpy Unicorn Co Pty Ltd or its licensors and are protected by Australian and international copyright, trade mark, patent and other intellectual property laws (including the Copyright Act 1968 (Cth) and the Trade Marks Act 1995 (Cth)).

You may not copy, reproduce, distribute, modify, or create derivative works from any of our content, products, or designs without our prior written consent. Unauthorised use may give rise to civil claims and criminal penalties.

SECTION 7 - OPTIONAL TOOLS

We may provide access to third-party tools over which we exercise no control. You acknowledge that we provide such tools "as is" and "as available" without warranties of any kind. We have no liability arising from your use of any optional third-party tools.

SECTION 8 - THIRD-PARTY LINKS

The Services may contain links to third-party websites or content not operated by us. We are not responsible for examining or evaluating the content or accuracy of any third-party materials and are not liable for any third-party materials, websites, products, or services. You access these at your own risk.

SECTION 9 - RELATIONSHIP WITH SHOPIFY

The Grumpy Unicorn Co is powered by Shopify, which provides us with the online platform that enables us to deliver the Services. Shopify is not responsible for sales between you and The Grumpy Unicorn Co, and you release Shopify from all claims arising from your use of the Services.

Your submission of personal information is governed by our Privacy Policy and (where applicable) Shopify's privacy practices. We comply with the Australian Privacy Principles set out in the Privacy Act 1988 (Cth).

Information on the Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, or availability. We reserve the right to correct any errors, inaccuracies, or omissions, and to change or update information or cancel orders if any information is inaccurate at any time without prior notice.

SECTION 17 - LIMITATION OF LIABILITY

To the fullest extent permitted by law, in no event shall The Grumpy Unicorn Co Pty Ltd, its directors, officers, employees, or affiliates be liable for any indirect, incidental, punitive, special, or consequential damages of any kind arising out of or in connection with your use of the Services or the products purchased through them. Our total liability for any claim arising under these Terms is limited to the amount you paid for the product giving rise to the claim. Nothing in this section limits liability that cannot be lawfully limited under the Australian Consumer Law.

SECTION 18 - INDEMNIFICATION

You agree to indemnify and hold harmless The Grumpy Unicorn Co Pty Ltd
and Shopify from any claim, loss, damage, or expense (including
reasonable legal fees) arising from your breach of these Terms, your
violation of any law, or your infringement of any third-party right.

SECTION 19 - SEVERABILITY

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall be severed from these Terms, and the remaining provisions shall remain in full force and effect.

SECTION 20 - ENTIRE AGREEMENT

These Terms of Service, together with any policies or operating rules posted on the Services (including the Shipping Policy, Refund Policy, and Privacy Policy), constitute the entire agreement and understanding between you and us regarding the Services and supersede any prior agreements.

The headings in these Terms are included for convenience only and do not limit or otherwise affect these Terms.
